1. Agreement to Terms
By accessing or using PostVito (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. References to "we", "us", or "our" refer to PostVito Ltd, registered in England and Wales.
2. Description of Service
PostVito is a social media content management and AI generation platform. The Service enables you to create, schedule, and publish content to connected social media accounts, generate AI-powered images and video, manage analytics, and operate an inbox for your social accounts.
3. Accounts and Workspaces
3.1 Registration. You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.
3.2 Workspaces. When you register, a Workspace is automatically provisioned for you. A Workspace is a shared environment for managing social accounts, niches, and content. Business plan accounts may invite additional team members with role-based access.
3.3 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement.
4. Generation Credits
4.1 Monthly credits. Each paid plan includes a monthly allotment of generation credits ("Gen Credits") that reset on your billing date. Free plan credits are a one-time allotment.
4.2 Rollover. Unused monthly Gen Credits roll over to the following period up to a maximum of 2× your plan's monthly allotment. Credits beyond this cap are forfeited.
4.3 Top-ups. You may purchase additional Gen Credits at any time. Top-up credits do not expire and are consumed after your monthly credits.
4.4 API credits. Separate API quota resets monthly and does not roll over or support top-ups.
4.5 Refunds. Generation credits are non-refundable except as required by applicable consumer law.
5. Acceptable Use
You agree not to use the Service to:
- Generate, publish, or distribute content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable
- Infringe any intellectual property right of any third party
- Distribute spam or unsolicited communications through connected social accounts
- Attempt to reverse engineer, decompile, or extract the source code of the Service
- Use automated means to access the Service beyond the documented API
- Scrape, data-mine, or extract data from the Service except via the documented API
- Circumvent any usage limits, rate limits, or access controls
Violations may result in immediate suspension or termination of your account without refund.
6. Intellectual Property
6.1 Your content. You retain ownership of all content you upload, create, or publish through the Service ("User Content"). By using the Service, you grant PostVito a limited, non-exclusive, worldwide licence to host, store, process, and display your User Content solely to provide the Service.
6.2 AI-generated content. Content generated by AI models within the Service is provided to you under the terms of the respective model provider. You are responsible for ensuring your use of AI-generated content complies with applicable law and platform terms of service.
6.3 Our IP. PostVito, its logo, and all related trademarks, service marks, and trade names are owned by PostVito Ltd. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.
7. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of personal information as described therein.
8. Billing and Payment
8.1 Subscription fees. Paid plans are billed in advance on a monthly or annual basis. All prices are in GBP and are inclusive of VAT where applicable.
8.2 VAT. UK customers are charged 20% VAT. EU and international customers have VAT handled automatically based on billing address via Stripe Tax. B2B customers may provide a valid VAT number at checkout.
8.3 Upgrades and downgrades. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing cycle.
8.4 Cancellation. You may cancel your subscription at any time. Access continues until the end of your paid period, after which your account reverts to the Free tier. No refunds are issued for partial periods except where required by law.
8.5 Failed payments. If payment fails, we will retry for up to 7 days. Access may be suspended if payment cannot be collected.
9. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. AI-generated content is provided without any representation as to accuracy, appropriateness, or fitness for a particular purpose.
10. Limitation of Liability
To the maximum extent permitted by applicable law, PostVito Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising from or in connection with your use of the Service.
Our total aggregate liability to you shall not exceed the greater of (a) the amounts paid by you to PostVito in the twelve months preceding the claim, or (b) £100.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
11. Indemnification
You agree to indemnify, defend, and hold harmless PostVito Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.
12. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service ceases immediately.
After termination, your data is retained for 90 days, during which you may export it. After 90 days it is permanently deleted. You may request immediate deletion under GDPR by contacting legal@postvito.com.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For EU/EEA consumers, nothing in this clause affects your rights under the mandatory consumer protection laws of your country of residence.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
